“Our $100 million investment and five-year commitment represent long-duration conviction,” said Richard Teng, co-CEO of Binance said in an email to CoinDesk. “We are helping to build a more inclusive, transparent, and compliant digital economy. The new arrangement replaces Circle and Binance’s earlier USDC deals from November 2024 and August 2025. Either company can end the five-year partnership early if specified events occur.
The shares were sold in an unregistered private placement, which limits Binance’s ability to resell them unless they are registered or an applicable exemption applies. Circle’s subsidiaries signed the related commercial agreements, and the share sale closed immediately afterward.
Commenting on Binance’s $100 million stake, Jeremy Allaire, Circle’s co-founder, chairman and CEO, said the partnership could help expand access to dollar-based financial services worldwide.
“Binance has built one of the largest and most dynamic platforms in the world for using digital currency, creating the internet’s largest financial super app, and becoming the most widely used wallet for dollar stablecoins,” Allaire said.
“Together, we see incredible opportunities to leverage USDC to expand dollar access, support savings and investment with innovative digital asset products, and reach people and businesses throughout global emerging markets,” he added.
